Singapore · Corporate & Commercial Counsel

Counsel for the crux of the matter.

Crux Law Chambers is a Singapore corporate and commercial practice. We act on the transactions and decisions that determine outcomes — prepared thoroughly, drafted precisely, and resolved without the padding.

What we do

Focused corporate counsel across the life of a company.

From formation to exit, we advise founders, companies and investors on the matters where structure and execution carry the most weight.

Corporate & Commercial

Day-to-day counsel across the company's life cycle — formation, contracts, governance and ongoing commercial arrangements.

Mergers & Acquisitions

Buy- and sell-side transactions, share and asset deals, due diligence, transaction documents and completion.

Corporate & Structured Finance

Convertible instruments, secured lending, share subscriptions and bespoke financing structures, drafted to hold.

Shareholder & Joint Ventures

Shareholders' agreements, constitutions, transfer and pre-emption mechanics, and joint-venture governance.

Employment

Executive contracts, policies, exits, settlements and the sensitive matters that sit between them.

Intellectual Property

Protection, licensing and commercialisation of the IP assets that give a business its edge.

The name

The crux — the single point everything turns on. In law, it is the issue on which a matter is won or lost.

We named the firm for this focal point - the crux. The work that matters is rarely spread evenly across a transaction; it concentrates at a few decisive points. Our job is to find those points early, prepare for them properly, and see clients through them.

Crux Law Chambers is a boutique practice built for that approach — close partner attention, complete and execution-ready drafting, and advice that flags the hard issues rather than glossing over them. YU Kanghao, Managing Director, leads the firm.

How we work

The discipline to solve your crux.

Prepared

We do the work before it is needed, so the hard points are anticipated rather than discovered late.

Precise

Complete, execution-ready drafts with the issues flagged — sourced reasoning, not assertions.

Direct

Clear advice and clear communication. We tell you where the risk sits and what we recommend.

Our people

Experienced counsel, working on your matter directly.

A boutique practice means the lawyers you meet are the ones who do the work — senior, hands-on, and accountable from first call to completion.
